Terms and Conditions

1. Services and Engagement

1.1. Scope of Work: Webjuice provides digital marketing services, including but not limited to Search Engine Optimization (SEO), Google Ads management, website development, and content creation. The specific deliverables are defined in the signed Proposal or Statement of Work (SOW).

1.2. Client Obligations: To ensure performance, the client must provide timely access to website backends, Google Search Console, and any necessary brand assets. Delays in providing these materials may result in project delays but will not pause recurring billing.

2. Fees, VAT, and Global Tax Compliance

2.1. Quote Currency: All fees are quoted in Euro (€) unless otherwise specified in a custom US or UK proposal.

2.2. VAT (Value Added Tax):

  • Irish Clients: Prices are exclusive of VAT. A 23% VAT rate will be added to all invoices.

  • EU B2B Clients (e.g., Slovakia, Spain): Under the EU VAT Directive, the Reverse Charge mechanism applies. Provided the client provides a valid EU VAT number, 0% VAT will be charged.

  • Non-EU Clients (UK, USA): Services are generally treated as “outside the scope” of Irish VAT, and 0% VAT will be charged. 2.3. Payment Methods:

  • Stripe: Used for automated credit/debit card recurring billing.

  • Wise: Preferred for international bank transfers (USD/GBP/EUR) to minimize exchange fee losses for the client and the agency.

3. Payment Schedule and Automated Billing

3.1. One-Time Projects: Fees for website setup or initial audits are due as outlined in Part 1 of the proposal.

3.2. Monthly Retainers: Monthly recurring payments are charged automatically on the 1st day of each billing period.

3.3. Failure to Pay: If an automated charge via Stripe fails, Webjuice reserves the right to suspend all active campaigns (including Google Ads) immediately to prevent the agency from incurring unrecoverable costs.

3.4. Late Payment Interest: In accordance with the European Communities (Late Payment in Commercial Transactions) Regulations 2012, interest will be charged on overdue amounts at the statutory rate.

4. Term and Termination

4.1. Minimum Required Term: Due to the nature of SEO and the upfront effort required for content and strategy, all recurring retainers are subject to a minimum term of 6 months.

4.2. Notice Period: After the initial 6-month term, the agreement moves to a month-to-month basis. Termination requires 30 days’ written notice prior to the next billing date.

5. Intellectual Property and Liability

5.1. Ownership: Upon full payment of all fees, the client owns the content and website design created by Webjuice. Strategy documents and proprietary SEO frameworks remain the property of Webjuice. 5.2. Limitation of Liability: Webjuice is not liable for loss of revenue or ranking fluctuations caused by third-party search engine algorithm updates (Google Core Updates) or changes made to the website by the client.

6. Governing Law

6.1. Jurisdiction: This agreement is governed by the Laws of Ireland. Any disputes shall be settled exclusively in the Irish Courts.
